Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the KPC Express website, mobile application, and related services, including any pages, content, features, order tools, shipment tools, notifications, and support channels made available by KPC Import (“KPC Import,” “KPC,” “we,” “us,” or “our”).

By accessing, browsing, registering for, or using the platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the platform. For purposes of these Terms, “platform” means the KPC Import website, mobile application, and related services.

The platform is owned and operated by:

You may use the platform only if you have the legal capacity to enter into a binding agreement under applicable law.

If you are registering or using the platform on behalf of a business, partnership, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

We may refuse access, suspend accounts, or require additional verification where reasonably necessary for security, compliance, fraud prevention, or operational purposes.

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep your account details updated.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activity conducted through your account;
• ensuring that information, shipping details, payment details, and uploaded documents are accurate and complete.

You must notify us immediately if you suspect unauthorized access to your account or any security breach.

We may suspend, restrict, or terminate your account if:

• information you provided is false, misleading, outdated, or incomplete;
• we believe your account is being used for fraud, abuse, or unlawful activity;
• Your use of the platform violates these Terms or applicable law.

The platform may allow you to:

• create and manage your account;
• submit shipment or order-related information;
• upload receipts, payment confirmations, and supporting documents;
• monitor shipment or transaction status;
• receive service-related messages, notifications, and updates;
• communicate with KPC support.

You agree to use the platform only for lawful purposes and in a manner consistent with these Terms.

You agree not to:

• use the platform for any unlawful, fraudulent, abusive, or unauthorized purpose;
• impersonate another person or misrepresent your identity or business;
• upload false, misleading, or fraudulent payment records, shipment details, or supporting documents;
• interfere with the security, integrity, or performance of the platform;
• attempt to gain unauthorized access to any account, system, database, or network;
• introduce malware, viruses, scripts, bots, or harmful code;
• scrape, copy, harvest, or extract data from the platform without our written consent;
• reverse engineer, decompile, or attempt to derive the source code of the platform, except where allowed by law;
• use the platform in a way that disrupts operations or harms KPC, its users, personnel, partners, or systems;
• use automated tools, robots, spiders, or similar methods to access or interact with the platform without authorization.

We reserve the right to investigate suspected violations and to take appropriate action, including suspension, termination, reporting to authorities, or legal action.

You may provide or upload information, documents, receipts, payment confirmations, shipment details, images, messages, feedback, or other materials through the platform (“Submitted Materials”).

You represent and warrant that:

• you own or have the right to submit the Submitted Materials;
• the Submitted Materials are accurate, lawful, and not misleading;
• The Submitted Materials do not violate any law or third-party right.

You retain ownership of your Submitted Materials. However, you grant KPC a non-exclusive, worldwide, royalty-free license to use, store, process, reproduce, and transmit such materials as reasonably necessary to:

• operate the platform;
• verify payments and transactions;
• process shipments and service requests;
• provide customer support;
• comply with legal and regulatory obligations;
• protect our rights, users, and operations.

If you send us feedback, suggestions, ideas, or recommendations regarding the platform, you agree that we may use them without restriction or compensation to you.

Any shipment timelines, status updates, estimated arrival dates, or service availability shown on the platform are for general information only unless expressly stated otherwise.

Shipment movement and delivery timelines may be affected by factors beyond our direct control, including:

• weather conditions;
• customs inspections or regulatory action;
• port congestion;
• vessel or carrier schedule changes;
• container shortages;
• warehouse constraints;
• labor issues;
• force majeure events;
• public emergencies, epidemics, or similar disruptions;
• acts or omissions of third-party carriers, agents, or service providers.

You understand that shipment dates and transit periods are estimates only and are not guaranteed unless expressly agreed in writing.

KPC may coordinate with third-party logistics providers, carriers, warehouses, brokers, payment processors, and other service providers in connection with the services.

Where applicable, you may be required to submit payment information, proof of payment, receipts, or supporting documents.

You agree that:

• all payment-related information you submit must be accurate and complete;
• KPC may verify payment records before processing certain requests or releasing certain services;
• delays may occur where payment verification is incomplete, inconsistent, or subject to review;
• KPC may reject or hold transactions that appear suspicious, unauthorized, or inconsistent with our risk controls.

Unless otherwise stated in writing, all charges, fees, and payment obligations are subject to the applicable service terms, billing rules, and operational policies of KPC.

10.1 User-Initiated Deletion Request

If your account is eligible for deletion, you may request deletion through the in-app account deletion feature, the website account deletion process, or by contacting KPC support through the contact details provided by us.

10.2 Immediate Initiation; 90-Day Grace Period

Once a deletion request is submitted:

• the deletion request will be initiated immediately;
• your account may be disabled and become inaccessible during the deletion process;
• a 90-day grace period will begin on the date of your deletion request.

During the 90-day grace period, you may be allowed to request cancellation of the deletion process, subject to identity verification and KPC’s internal review procedures.

10.3 Permanent Deletion After 90 Days

After the 90-day grace period expires, your account and associated personal data will be permanently deleted or anonymized, and the deletion may no longer be reversed, except for data we are required or permitted to retain under applicable law or for legitimate business purposes such as:

• legal compliance;
• accounting and tax records;
• fraud prevention and security;
• dispute handling and claims defense;
• enforcement of our agreements;
• audit and internal control purposes.

10.4 No Active or Ongoing Shipments

You should not request deletion if you have active, pending, disputed, or ongoing shipments or unresolved transactions.

KPC may deny, delay, or defer an account deletion request until active shipments, outstanding balances, verification reviews, charge issues, claims, or operational matters are resolved.

10.5 Download Important Information

Before submitting a deletion request, you are responsible for downloading or saving any records, shipment details, receipts, or information you may need. Once permanent deletion is completed, deleted data may no longer be retrievable.

The platform, including its software, layout, text, graphics, logos, design elements, interfaces, databases, and related content, is owned by or licensed to KPC and is protected by applicable intellectual property laws. Except as expressly permitted in writing, you may not copy, reproduce, distribute, modify, publish, display, perform, create derivative works from, or otherwise exploit any part of the platform.

We grant you a limited, revocable, non-exclusive, non-transferable right to use the platform solely for its intended business and personal purposes, subject to these Terms.

The platform may integrate with or refer to third-party providers, including payment gateways, logistics partners, mapping tools, analytics services, communication tools, or app stores.

KPC is not responsible for third-party websites, applications, or services that we do not own or directly control. Your use of third-party services may also be subject to their own terms and privacy policies.

We may modify, update, suspend, limit, or discontinue any part of the platform at any time, with or without notice, to the extent allowed by law.

We do not guarantee uninterrupted or error-free access to the platform. Maintenance, technical issues, security events, connectivity issues, and third-party system interruptions may affect availability.

Your use of the platform is also governed by our Privacy Policy, which explains how we collect, use, disclose, store, and protect your personal information.

By using the platform, you acknowledge that you have read and understood our Privacy Policy.

The platform is provided on an “as is” and “as available” basis, subject to applicable law.

To the fullest extent permitted by law, KPC makes no warranty, representation, or guarantee regarding:

• uninterrupted availability of the platform;
• accuracy, completeness, or timeliness of platform content;
• compatibility with your device, browser, network, or operating system;
• absence of bugs, malware, or system vulnerabilities;
• guaranteed shipment timing, carrier availability, or third-party performance.

You are responsible for evaluating whether the services are suitable for your intended use, especially for time-sensitive, event-sensitive, or urgent shipments.

To the fullest extent permitted by law, KPC Express Corporation, its officers, directors, employees, representatives, affiliates, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or related to:

• your access to or use of the platform;
• inability to access or use the platform;
• service delays, carrier delays, or shipment disruptions;
• acts, omissions, or failures of third-party service providers;
• force majeure events or circumstances beyond reasonable control;
• errors in information, documents, or instructions submitted by you.

Without limiting the foregoing, KPC shall not be responsible for delays, interruptions, or changes caused by customs action, port congestion, vessel schedule changes, public emergencies, weather conditions, equipment failures, labor shortages, or similar circumstances beyond our reasonable control.

If, notwithstanding the foregoing, KPC is found liable for any claim arising from your use of the platform, our total liability shall, to the extent permitted by law, be limited to the amount you directly paid to KPC for the specific service giving rise to the claim, if any. Nothing in these Terms excludes or limits liability where such exclusion or limitation is not allowed by law.

You agree to defend, indemnify, and hold harmless KPC Express Corporation and its officers, employees, affiliates, contractors, and agents from and against any claims, actions, damages, liabilities, losses, and expenses, including reasonable legal fees, arising out of or related to:

• your violation of these Terms;
• your misuse of the platform;
• your submitted materials;
• your violation of any law or third-party right;
• fraud, negligence, or misconduct attributable to you or your account.

We may suspend, restrict, or terminate your access to the platform, with or without notice, if:

• you violate these Terms;
• we suspect fraud, abuse, or unauthorized activity;
• we are required to do so for legal, regulatory, security, or operational reasons;
• continued access creates risk to KPC, users, or third parties.

Termination does not relieve you of any obligations incurred before termination.

By using the platform, sending us messages, submitting forms, or receiving notices electronically, you agree to receive communications from us electronically and acknowledge that such communications satisfy any legal requirement that they be in writing, subject to applicable law.

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Any dispute arising out of or relating to these Terms or your use of the platform shall be submitted to the appropriate courts of the Philippines, unless otherwise required by applicable law. Before filing formal legal action, the parties agree to attempt in good faith to resolve the issue through discussion and internal escalation where reasonably possible.

These Terms, together with the Privacy Policy and any applicable service-specific policies posted by KPC, constitute the entire agreement between you and KPC regarding the platform.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any provision shall not be deemed a waiver of that provision.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, restructuring, or transfer of assets.
